Scope
These terms apply to every quotation, order, attendance and delivery by OZ Maritime Gemi Donatim Tic. Ltd. Sti., Evliya Celebi Mah. Sahil Bulvari, Elexia D Blok No: 5 34944 Tuzla, Istanbul, Turkiye and OZ Maritime Europe B.V., The Netherlands (registered office address: Contact) (KvK 85268747, BTW NL863568051B01), together referred to as OZ Maritime, we, us or our.
They apply unless a signed agreement between us says otherwise. A purchase order that refers to the customer's own terms does not displace these terms unless we accept them in writing.
Quotations and orders
Quotations are valid for the period stated on them and are based on the scope and the information supplied at the time. Work found necessary during the attendance that is outside the quoted scope is reported before it is carried out and quoted separately.
An order is accepted when we confirm the attendance date or the delivery in writing.
Access, safety and delay
The customer arranges safe access to the vessel and the equipment, isolation where required, and the permits and port passes that attendance requires. Where attendance is prevented or delayed by access, weather, port or vessel conditions, standby and abort charges apply as listed in our service catalogue.
Performance and certification
Services are performed to SOLAS, the applicable IMO circulars and resolutions, class and flag requirements and the manufacturer's procedures, by personnel certified for the work.
Certificates are issued only for the items actually examined, tested or serviced, and only within the approvals we hold. Items found defective are reported and photographed; we do not certify equipment that has failed.
Supply
Goods are supplied to the specification ordered. Where a class or maker certificate is required, it is supplied with the goods. Title passes on payment in full; risk passes on delivery to the vessel or to the carrier nominated by the customer.
Price and payment
Prices exclude taxes, duties, port charges and third party attendance fees unless stated. Invoices are payable within the period stated on the invoice. Disputed items must be raised in writing within seven days of the invoice date; undisputed amounts remain payable.
Liability
We are liable for damage caused by our negligence in performing the work, limited to the invoice value of the work concerned. We are not liable for loss of profit, loss of hire, delay to the vessel or other indirect loss. Nothing in these terms limits liability for death or personal injury caused by negligence, or for anything else that cannot be limited by law.
Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including port closure, industrial action, weather and restrictions imposed by an authority.
Governing law
Work performed by the Turkiye entity is governed by Turkish law, with the courts of Istanbul having jurisdiction. Work performed by the European entity is governed by Dutch law, with the courts of the Netherlands having jurisdiction.
